Terms of Service

A Romanian version of these Terms is available on request at legal@cucinovo.com and prevails for consumers habitually resident in Romania where required by Romanian law.
0. Who we are
The Cucinovo service (the “Service”) is operated by AIMTECH DIGITAL S.R.L., a Romanian limited liability company, registered with the Romanian Trade Register under no. J2026010898000, sole registration code (CUI) 53983483, share capital 500 RON, with its registered office at Prelungirea Ghencea nr. 45, Bl. C3, Sc. A, Et. parter, Ap. 5, Oraș Bragadiru (Sat Bragadiru), Județul Ilfov, România.
Email: legal@cucinovo.com. In these Terms, “we”, “us” and “Cucinovo” mean AIMTech Digital SRL.
1. Who these Terms apply to
These Terms apply both to consumers and to business customers.
- Consumer means a natural person acting outside their trade or profession (for example, a home cook).
- Business Customer means anyone else, including a restaurant, hospitality group, company, sole trader, or association.
Sections marked [Consumers] apply only to consumers. Sections marked [Business] apply only to Business Customers. All other sections apply to both.
By creating an account or using the Service, you confirm that you are at least 16 years old, that you have read these Terms and our Privacy Policy, and that you agree to be bound by them.
2. The Service
Cucinovo is a web-based recipe and kitchen management platform. We will use reasonable commercial efforts to keep the Service available, conformant with the description on our website, and to provide security updates for the duration of your subscription, in line with Directive (EU) 2019/770 on digital content and services.
We may carry out scheduled maintenance and, where reasonable, give advance notice through the app or by email. We do not guarantee uninterrupted or error-free operation.
3. Acceptable use
You agree to use the Service only for lawful purposes and consistent with these Terms. You must not:
- Use the Service to store or transmit illegal, harmful, defamatory, or infringing content.
- Attempt unauthorised access to any part of the Service or to other users' data.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by mandatory law.
- Use the Service in a way that could damage, overload, or impair our infrastructure or that of any third party.
- Resell, sublicence, or commercialise access to the Service without our prior written consent.
- Use automated scripts, scrapers, or bots without our prior written consent.
4. Your content and our intellectual property
Your content.You retain ownership of the recipes, ingredients, supplier data, lists, uploads, and other content you create or upload (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, back up, display, and process Your Content strictly for the purpose of operating the Service for you and your team. This licence ends 30 days after you delete your account, save for the limited retention required by law (see Section 13).
Warranty. You confirm that you have the right to upload Your Content and that Your Content does not infringe any third-party right. You agree to indemnify us against third-party claims arising from a breach of this section.[Business]: this indemnity does not apply to consumers.
Our IP. The Cucinovo brand, software, design, code, documentation, recipe templates, and any improvements to the Service remain the exclusive property of AIMTech Digital SRL. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription.
5. Plans, fees, and billing
The Service is offered on monthly or annual subscription plans (Free, Starter, Pro, Plus, plus optional add-ons). Current prices are shown on cucinovo.com/pricing in EUR. VAT is added where applicable in line with Romanian and EU law.
- 14-day free trial of Pro features. Restaurant customers receive a 14-day free trial. Trials do not auto-charge unless you add a payment method and proceed through checkout.
- Automatic renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price. You may cancel at any time from your billing portal; cancellation takes effect at the end of the current paid period.
- Price changes.We will give at least 30 days' notice of a price increase for an existing subscription by email and in the app. You may cancel during the notice period, in which case the current price will continue to apply until the end of your paid term.
- Payment processor. Card payments are processed by Stripe. Cucinovo never stores your full card details.
- Invoices. Invoices are issued in line with Romanian fiscal law (within five business days of the chargeable event) and are available in your Stripe billing portal.
- Refunds. Refunds are governed by Section 6 (Right of withdrawal) for consumers, and by Section 10 (Termination) otherwise. We will not refund used periods.
6. Right of withdrawal [Consumers]
Under OUG 34/2014 (transposing Directive 2011/83/EU), a consumer has the right to withdraw from a distance contract within 14 days of conclusion, without giving any reason.
Starting performance before the 14-day deadline. Cucinovo is a digital service. If you ask us to begin performance during the 14-day withdrawal period (for example, by accessing the Service or activating paid features), you expressly consent to immediate performance and acknowledge that you will lose your right of withdrawal once performance has begun. We will confirm this consent on the durable medium of your purchase confirmation email.
How to withdraw within the 14-day window. Email legal@cucinovo.com with a clear statement of your decision to withdraw, or use the model withdrawal form below. We will refund all payments received within 14 days of receiving your withdrawal notice, using the same payment method.

7. Express acceptance of specific clauses (Codul Civil art. 1.203)
By accepting these Terms of Service, you expressly acknowledge and accept the following clauses, which Romanian Civil Code article 1.203 treats as clauze neuzuale (unusual clauses) and which require separate, express acceptance:
- Section 5: automatic renewal of subscriptions.
- Section 9: limitation of our liability.
- Section 10: our right to suspend or terminate access.
- Section 12: our right to modify these Terms with 30 days' notice.
- Section 14: choice of Romanian law and, for Business Customers, exclusive jurisdiction of the Bucharest courts.
We record the date, time, and account associated with your acceptance of these Terms. You may request a copy of this record by emailing legal@cucinovo.com.
8. Conformity and warranties
For consumers, we are bound by the statutory conformity guarantees under OUG 141/2021 (Directive (EU) 2019/770) for digital services: the Service must be in conformity with its description, fit for the purposes for which digital services of the same type are typically used, and supplied with reasonable security updates for the duration of your subscription. If the Service is not in conformity, you may require us to bring it into conformity, ask for a proportional price reduction, or terminate the contract, in accordance with that law.
For Business Customers [Business], beyond the conformity duties above, the Service is provided “as is” and “as available”, and we exclude implied warranties to the maximum extent permitted by law.
9. Limitation of liability
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or wilful misconduct; or (d) any liability that cannot be excluded under applicable law.
Subject to that, and to the maximum extent permitted by applicable law:
- [Consumers]: our liability is limited to the foreseeable direct damages arising from our breach. We are not liable for indirect or consequential damages or for damage that you could have avoided by taking reasonable precautions.
- [Business]: our total cumulative liability under or in connection with these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months immediately preceding the event giving rise to the claim, or (b) €100. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities.
10. Termination
By you. You may cancel your subscription at any time from your billing portal. You may delete your account at any time from your Profile page. Deletion is permanent and irreversible, subject to Section 13 (Data retention).
By us. We may suspend or terminate your account:
- Immediately, where you engage in fraud, abuse, threats to platform security, illegal activity, or any conduct that exposes us or our other users to material harm.
- Otherwise, only after we have given you 7 days' written notice describing the issue and giving you a fair opportunity to remedy it where remedy is possible.
If we terminate your subscription other than for your material breach, we will refund the unused portion of any pre-paid period on a pro-rata basis.
11. Complaints, ANPC and online dispute resolution [Consumers]
We want to resolve any issue directly. Please first contact us at legal@cucinovo.com. We will reply within 30 calendar days.
If you are not satisfied, as a consumer you may also:
- File a complaint with the Romanian National Authority for Consumer Protection (ANPC) at anpc.ro.
- Use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.
- Bring the dispute before the courts of your country of habitual residence, or before the Romanian courts.
AIMTech Digital SRL has not adhered to any specific SAL/ADR body. We are happy to consider any reasonable alternative dispute resolution proposal you make.
12. Changes to these Terms
We may update these Terms. For material changes that affect your rights or obligations, we will give you at least 30 days' written notice by email and in the app. If you do not accept the changes, you may cancel your subscription during the notice period and we will refund the unused portion of any pre-paid term. Minor, non-material changes (typo corrections, clarifications) take effect upon posting. The latest version is always available at this page; previous versions are archived at /legal/terms/archive.
13. Data and privacy
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. If you are a Business Customer using the Service to process personal data about your staff, suppliers, or other people, we act as your data processor for that data. The processing terms are set out in our Data Processing Addendum at /legal/dpa.
Fiscal retention. Even after you delete your account, we retain invoices, payment events, and accounting records for the period required by Romanian fiscal and accounting law (5 to 10 years from the date of issue, per the Codul Fiscal and Legea contabilității 82/1991). These records are retained only for that legal purpose and are not used for any other reason.
14. Governing law and jurisdiction
These Terms are governed by Romanian law.
[Consumers]: This choice of law does not deprive you of the protection of the mandatory rules of the law of your country of habitual residence (Article 6 of Regulation (EC) No 593/2008, Rome I). Disputes between you and Cucinovo may be brought before the Romanian courts or the courts of your country of habitual residence.
[Business]: You agree to the exclusive jurisdiction of the competent courts of Bucharest, Romania.
15. Other terms
- Language. These Terms are concluded in English. A Romanian version is available on request and applies to consumers habitually resident in Romania where required.
- Concluded contract. A copy of your accepted Terms and your account data is stored in your account and can be downloaded from Profile → Export My Data.
- Assignment. We may assign these Terms to a successor in the context of a merger, acquisition, or restructuring, with reasonable notice. You may not assign without our prior written consent.
- Severability. If any provision is held unenforceable, the remainder remains in force, and the provision will be interpreted to come as close as possible to the original intent within the limits of the law.
- No waiver. A failure to enforce a provision is not a waiver of that or any other provision.
- Entire agreement. These Terms, the Privacy Policy, and any DPA we sign with you are the entire agreement between us.
- Notices. Legal notices to us must be sent to legal@cucinovo.com. Notices to you may be sent to the email address on your account.
